These Recruiting Services Terms (“Agreement”) govern the recruitment and placement services provided by CareerUSA (“Recruiter”) to the company identified by the client during the CareerUSA search activation process (“Client”).
By electronically accepting these Terms and submitting the applicable Search Activation Fee, the individual accepting this Agreement confirms that they are authorized to bind the Client to these Terms.
1. Appointment and Acceptance
The Client appoints the Recruiter to provide recruitment and placement services for the position identified in the applicable search brief (the “Services”).
The Recruiter accepts the appointment and agrees to perform the Services in accordance with this Agreement.
2. Search Activation Fee and Placement Fee
In consideration of the Services performed by the Recruiter, the Client shall pay:
- a one-time Search Activation Fee of US$500 per role to commence the search process; and
- a placement fee equal to 20% of the candidate’s annual gross salary, payable on the candidate’s joining date.
The Search Activation Fee is non-refundable and separate from the placement fee.
The Search Activation Fee is due when the Client activates the search.
The placement fee is due upon receipt of the applicable invoice.
3. Definition of Placement and Fee Applicability
A “placement” occurs when the Client makes an offer of employment to a candidate introduced by the Recruiter, the candidate accepts that offer, and the candidate commences employment.
The placement fee will also be payable if any candidate introduced by the Recruiter is employed by the Client within twelve (12) months of the candidate’s initial introduction, regardless of the position ultimately offered.
4. Notification of Hire
The Client must notify the Recruiter immediately upon offering employment to any candidate introduced by the Recruiter.
The Client must provide the Recruiter with full details of the compensation package offered to the candidate.
5. Client Responsiveness and Cooperation
The Client agrees to provide full and timely cooperation throughout the search. This includes providing, where applicable:
- information about the ideal candidate
- a complete job description
- compensation details
- relevant employee benefits
- interview availability
- timely candidate feedback
- other information reasonably required to conduct the search
If the Client becomes unresponsive for more than one (1) week during the search, the Recruiter reserves the right to pause the search process and request a new Search Activation Fee before resuming the assignment.
Timely communication is required to maintain an effective recruitment process.
6. Effective Date
This Agreement becomes effective when an authorized representative of the Client electronically accepts these Terms and submits the applicable Search Activation Fee.
The acceptance timestamp recorded by CareerUSA and the associated payment record may be retained as evidence of acceptance.
7. Scope of Services
CareerUSA may provide the following services as part of the recruitment assignment:
- onboarding or briefing call with the Client
- candidate sourcing through the Recruiter’s talent network and search methods
- candidate screening based on the Client’s requirements
- interviews and assessments
- presentation of selected candidates for Client review
- coordination of Client interviews
- post-hire support
The exact search strategy and activities may vary depending on the position and assignment.
8. Service Duration
The Services provided under this Agreement are valid for thirty (30) days per job, beginning on the date the search is activated.
If additional time or a materially revised search is required, CareerUSA and the Client may agree on the appropriate next steps.
9. Replacement Guarantee
If a candidate placed by CareerUSA resigns or is terminated from employment within twelve (12) months of the candidate’s start date, CareerUSA will endeavor to replace the employee free of an additional placement fee, provided that:
- the original invoice was paid by the applicable due date;
- the Client notifies CareerUSA within seven (7) days of the candidate’s employment ending; and
- the replacement search is for the same role and substantially the same requirements as the original assignment.
The replacement guarantee applies once per position only.
The guarantee is a replacement search and is not a cash refund.
10. Confidentiality
CareerUSA will respect the confidentiality of information provided by the Client.
The Client acknowledges that candidate confidentiality is also of key importance. The Client agrees to keep candidate information confidential and not disclose candidate information to third parties except where reasonably necessary for the Client’s internal hiring process or with appropriate authorization.
Candidate information must be handled responsibly and in accordance with applicable privacy and data protection requirements.
11. Limitation of Liability
To the extent permitted by applicable law, CareerUSA shall not be held liable for any misrepresentation, misstatement, loss, damage, costs or expenses incurred by the Client in connection with the introduction, consideration or employment of a candidate.
CareerUSA provides recruitment and candidate-evaluation services but does not guarantee a candidate’s future performance.
12. Compliance with Laws
Both parties shall perform their respective obligations under this Agreement in compliance with applicable laws, regulations and statutes, including those relating to employment, privacy and data protection.
13. Governing Law and Jurisdiction
This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware, United States of America, without regard to conflict-of-law principles.
Any dispute arising under or in connection with this Agreement shall be subject to the jurisdiction of the courts located in Delaware, United States of America.
14. Entire Agreement
These Terms, together with the applicable search brief and any expressly agreed written commercial terms, constitute the agreement between CareerUSA and the Client relating to the applicable recruitment assignment and supersede prior communications relating to the same subject matter.
Any amendment to these Terms must be agreed in writing by an authorized representative of CareerUSA.
15. Electronic Acceptance
The Client agrees that this Agreement may be entered into electronically.
By:
- selecting the checkbox stating that the Client has read and agrees to the CareerUSA Recruiting Services Terms; and
- completing payment of the applicable Search Activation Fee,
the individual completing the transaction:
- confirms that they have reviewed these Terms;
- confirms that they are authorized to act on behalf of the Client;
- agrees to bind the Client to this Agreement; and
- consents to electronic records relating to the engagement.
Electronic acceptance will have the same effect for the CareerUSA onboarding process as execution of the Agreement through the Client’s acceptance workflow.
CareerUSA may retain records showing:
- Client company name
- accepting individual’s name
- accepting individual’s email address
- role/search being activated
- date and time of acceptance
- Agreement version
- Search Activation Fee payment reference
- payment status
16. Privacy
